Terms and Conditions.
Last updated: 26 October 2026
The German version is legally binding; the English version is a translation for convenience.
1. Scope
These terms and conditions apply to all contracts between Antonina Panchenko, Bismarckstr. 9, 33330 Gütersloh (“I”) and my customers (“you”) for the design and creation of online courses and learning products, the set-up of learning environments and related consulting under the KnowPack brand (“Services”).
They apply to consumers and businesses. A consumer is any natural person who concludes the contract for purposes that are predominantly outside their trade, business or profession (Section 13 BGB). A business is anyone who concludes the contract in the exercise of their trade, business or profession (Section 14 BGB).
Your deviating terms apply only if I confirm them in text form. Individual agreements, for example in my quote, take precedence over these terms.
2. Services
Scope, result, schedule and price of the Services follow from my quote or order confirmation. I owe the agreed Services, not a specific commercial result (see section 11).
I may have Services performed in whole or in part by third parties. I remain responsible to you.
3. Conclusion of contract
The presentation of my Services on the website is not a binding offer. The contract is concluded when you accept my quote in text form or I confirm your order in text form.
The contract language is German or English. I send you the contract text (quote and these terms) in text form. You can access, save and print the terms on my website at any time.
4. Your cooperation
For creating the course I need your subject-matter content, materials and prompt feedback. You provide the materials on time, completely and in the agreed format, and name a contact person.
You warrant that you hold the necessary rights to the materials and that they do not infringe third-party rights. You indemnify me against third-party claims to the extent you are responsible for the infringement.
If your cooperation is delayed, agreed deadlines shift accordingly.
5. Approvals and revisions
I submit interim results, for example curriculum, scripts and lessons, for your approval. The price includes two rounds of revisions per phase unless my quote says otherwise. I charge further changes by effort.
If you do not respond within ten days of submission, the phase is deemed approved. I will expressly point this out when I submit the work.
6. Prices and payment
The prices in my quote apply, in euros. As a small business under Section 19 UStG I do not charge VAT and do not show it on invoices.
The payment schedule follows from the quote, for example a deposit and instalments. Invoices are due within fourteen days without deduction unless agreed otherwise.
In case of late payment the statutory consequences apply. I may withhold further work and delivery of results until due payments have been received, to the extent permitted by law.
7. Revenue share (only if agreed)
If my quote provides for a revenue share, the percentage, calculation basis, settlement period, information rights and term are as stated in the quote.
8. Usage rights
I acquire no rights to your own content, methodology and expertise, except the right to use them to perform the contract.
For the course content I create (for example curriculum, scripts, videos, graphics and exercises) I grant you, after full payment, an exclusive, unlimited in time and territory right of use for your business.
My templates, tools, structures and methods remain mine, even where they are incorporated into the results. You may use them only as part of the results.
I name you, your name, logo or result as a reference only with your consent.
9. Right of withdrawal for consumers
If you are a consumer, you have a statutory right of withdrawal. The instructions and the model withdrawal form are on the Withdrawal page.
10. Warranty
The statutory warranty rights apply. Please notify me of defects in text form without delay after discovering them so that I can remedy them.
11. No guarantee of success
I support you in turning your knowledge into a professional learning product. Whether and to what extent you generate revenue, learners or reach with it depends on factors I cannot influence, for example target group, marketing, price and market. I give no guarantee for this.
12. Liability
I am liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and where I have given a guarantee.
In case of simple negligence I am liable only for breach of an essential contractual obligation. Essential contractual obligations are obligations whose performance characterises the contract and on which you may rely. In this case my liability is limited to the foreseeable, typical damage.
Otherwise my liability is excluded.
13. Confidentiality
I treat the materials and business information you give me as confidential and use them only to perform the contract. This also applies after the contract has ended.
14. Data protection
How I process your data is described in my privacy policy.
15. Governing law and jurisdiction
German law applies. The UN Convention on Contracts for the International Sale of Goods is excluded. If you are a consumer, this choice of law applies only insofar as it does not deprive you of the protection of mandatory provisions of your country of habitual residence.
If you are a business, the place of jurisdiction for all disputes is Gütersloh.
16. Final provisions
If individual provisions of these terms are invalid, the remaining provisions stay valid. The statutory rule replaces the invalid provision.
I may amend these terms for new contracts. For existing contracts the version at the time the contract was concluded applies.
These terms are available in German and English. In case of discrepancies the German version prevails.
I am neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
